These Terms of Service (“Terms”) govern your access to and use of the Vala mobile application and related services (collectively, the “Service”). The Service is provided by:

By accessing or using Vala, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Important: Vala does not provide medical advice, diagnosis, or treatment. See Section 7.
1. Eligibility

You must be at least 18 years old to use Vala.

By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
2. Description of the Service
Vala is a mobile app (currently in early development and/or early-access testing) that:

Connects with wearables and platform-specific health apps (e.g., Apple Health) to sync health, biometric, and activity data, and
-
Uses an indirect, inference-based algorithm to generate nutrient insights and guidance (“Nutrient Insights”) intended to support recovery, resilience, and performance.
The algorithm and outputs are not clinically validated and are constantly evolving as we develop and test the product.
We may modify, suspend, or discontinue any part of the Service at any time, including for maintenance, testing, or improvements.
3. Account registration
To use certain features, you may need to create an account.
You agree to:

Provide accurate and up-to-date information

Keep your login credentials confidential

Notify us promptly if you suspect unauthorized access to your account
You are responsible for all activities that occur under your account.
4. Subscriptions and fees (when applicable)
In the future, Vala may be offered under paid tiers or subscription packages.

Details of the applicable fees, billing cycle, and features will be presented in the app or via the relevant app store.

Subscriptions may auto-renew at the end of each billing period unless you cancel in accordance with the cancellation process of the app store or within Vala (where applicable).

Any payment processing will typically be handled by third-party app stores or payment processors; their terms and policies may also apply.

Refunds will be provided only where required by applicable law or the rules of the app store.
During early-access or pre-launch phases, the Service may be provided free of charge or on a trial basis; such access can be modified or withdrawn at any time.
5. Acceptable use
You agree not to:

Use Vala in violation of any applicable law or regulation.

Use the Service for any medical, diagnostic, or emergency decision-making.

Attempt to reverse-engineer, decompile, or otherwise derive the source code of any part of the Service.

Access or attempt to access other users’ data without their explicit authorization.

Use the Service to transmit malicious code, spam, or harmful content.

Resell, sublicense, or commercially exploit the Service except as expressly permitted by us.
We may suspend or terminate access if we reasonably believe you have breached these Terms.
6. Intellectual property
All rights, title, and interest in and to Vala and its content (software, algorithms, graphics, logos, text, and other materials) are owned by ATAO d.o.o. or its licensors.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Vala for your personal, non-commercial use.
Nothing in these Terms grants you any ownership rights in the Service.
7. No medical advice
This is the part we’re not negotiating on:

Vala provides wellness-oriented, informational Nutrient Insights derived from your data using an inference-based algorithm.

The Service and all Nutrient Insights are not medically reviewed, not clinically validated, and not a substitute for professional medical advice, diagnosis, or treatment.

Vala does not claim to prevent, diagnose, treat, or cure any disease or medical condition.
You agree that:

You will not rely on Vala for any medical decisions.

You will consult with a doctor, nutritionist, or other qualified health professional before making any changes to your diet, supplements, training, or lifestyle, especially if you have any medical condition, are pregnant, breastfeeding, or taking medications.

In case of any medical emergency or concerning symptoms, you will contact emergency services or a healthcare provider immediately and not use Vala as a source of guidance.
8. Disclaimers
To the maximum extent permitted by law and given the early-stage nature of the Service:

Vala is provided on an “as is” and “as available” basis.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from bugs.

We do not guarantee the accuracy, completeness, or usefulness of any Nutrient Insights or other information provided through the Service.

Any reliance on the Service is at your own risk.
9. Limitation of liability
To the extent permitted by applicable law:

ATAO d.o.o., its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption arising from or related to your use of Vala.

Our total aggregate liability arising from or relating to the Service and these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to the greater of:

The total amount you have paid to us for the Service in the 12 months preceding the event giving rise to the claim; or
-
EUR 50 if you are using the Service free of charge.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g., for death or personal injury caused by our gross negligence or wilful misconduct).
If you are a consumer, mandatory consumer protection laws in your country of residence may grant you additional rights.
10. Indemnity
Where permitted by law, you agree to indemnify and hold harmless ATAO d.o.o. from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

Your breach of these Terms, or
-
Your misuse of the Service.
11. Termination
We may suspend or terminate your access to Vala at any time, particularly if:

You violate these Terms,

We discontinue or significantly modify the Service, or
-
It is necessary for security, legal, or operational reasons.
You may stop using Vala at any time and, where applicable, delete your account and the app from your devices. Termination does not affect any rights or obligations that have already accrued.
12. Governing law and jurisdiction
These Terms are governed by the laws of Croatia, without prejudice to mandatory consumer protection provisions of your country of residence (if you are an EU consumer).
Any disputes arising out of or in connection with these Terms shall be subject to the jurisdiction of the competent courts in Zagreb, Croatia, unless otherwise required by mandatory law.
13. Changes to the Terms
We may update these Terms from time to time. The most current version will be available within the app or on our website (if applicable) and indicated by a “Last updated” date.
If we make material changes, we will take reasonable steps to notify you (e.g., in-app notice or email). Your continued use of Vala after the changes take effect constitutes acceptance of the updated Terms.
